Contracting entity: Rollo Technologies Inc., a Delaware (USA) corporation
1. Preamble
These Terms of Service (hereinafter "Terms") govern access to and use of the website cogite.ai (hereinafter the "Site") and all services offered under the Cogite.ai brand (hereinafter collectively the "Services").
The Site and Services are published and operated by Rollo Technologies Inc., a corporation organized under the laws of the State of Delaware, with its registered office at 1111B S Governors Ave, Suite 59264, Dover, DE 19904, United States (hereinafter "Rollo Technologies" or "we").
Access to the Site and use of the Services implies full, complete and unreserved acceptance of these Terms by the user (hereinafter "the User" or "you"). If you do not accept these Terms, you are invited not to use the Site or the Services.
2. Definitions
For the purposes of these Terms:
- "Client" means any legal entity having entered into a commercial contract with Rollo Technologies for the provision of data annotation Services;
- "Client Data" means all data, files, content and information transmitted by the Client to Cogite in the course of providing the Services;
- "Deliverables" means the annotated datasets, files produced and results provided to the Client at the end of an engagement;
- "Visitor" means any person accessing the Site without a contractual relationship with Rollo Technologies;
- "Services" means all data annotation services for artificial intelligence offered by Cogite.
3. Purpose of the site
The cogite.ai Site is intended to:
- Present Cogite's activity, expertise and values;
- Allow prospects to contact our sales team;
- Disseminate information regarding our methodologies, intervention sectors and case studies;
- Recruit collaborators.
The Site does not in itself constitute a subscription or execution channel for the Services. Any commercial relationship is governed by a separate written contract between Rollo Technologies and the Client.
4. Site access
The Site is freely accessible 24 hours a day, 7 days a week, except in cases of force majeure, maintenance interruption or technical incident.
Rollo Technologies reserves the right to modify, suspend or discontinue all or part of the Site without notice and without incurring liability. The User acknowledges having the necessary skills and resources to access and use the Site, and that the costs of access to and use of telecommunications networks are at the User's sole expense.
5. Intellectual property
5.1 Site content
All elements composing the Site — including without limitation texts, photographs, images, videos, sounds, graphics, drawings, logos, trademarks, domain names, databases, source codes, scripts, and generally any content of any nature (hereinafter the "Content") — is the exclusive property of Rollo Technologies Inc. or its partners, and is protected by US and international intellectual property laws, including copyright, trademark law and database law.
5.2 Cogite.ai trademark
The Cogite.ai trademark, the Cogite logo and all associated distinctive signs are the exclusive property of Rollo Technologies Inc. Any reproduction, imitation or use, total or partial, in any capacity whatsoever, without prior written authorization from Rollo Technologies, is strictly prohibited and may constitute infringement subject to criminal and civil sanctions.
5.3 Limited usage license
Rollo Technologies grants the User a personal, non-exclusive, non-transferable and revocable license to access and use the Site, strictly limited to private use. Any other use, including commercial use, is strictly prohibited without prior written authorization.
6. User conduct
The User agrees to use the Site fairly, in accordance with its purpose and applicable laws. The following are notably prohibited:
- Any behavior that could interrupt, suspend, slow down or prevent the continuity of the Site;
- Any attempt at unauthorized intrusion, hacking or access to Rollo Technologies information systems;
- Any diversion of Site or Services resources;
- Any action that would impose a disproportionate burden on Rollo Technologies infrastructure;
- Any act likely to infringe the intellectual property or personal rights of Rollo Technologies or third parties;
- The sending of unsolicited commercial communications, spam or malicious content via Site forms.
7. Limitation of liability
7.1 Accuracy of information
Rollo Technologies endeavors to ensure the accuracy and updating of information distributed on the Site. However, we cannot guarantee completeness, veracity or absence of errors. The Site and its content are provided "as is", without warranty of any kind, express or implied.
7.2 Availability
Rollo Technologies uses reasonable efforts to ensure Site availability, but cannot be held responsible for any interruption, failure or unavailability, whether due to a cause beyond its control (force majeure), scheduled maintenance or malfunction.
7.3 Damages
To the fullest extent permitted by applicable law, Rollo Technologies disclaims all liability for direct or indirect, material or immaterial, foreseeable or unforeseeable damages, resulting from access to the Site, use of or inability to use the Site, or use of information distributed therein.
7.4 External links
The Site may contain hypertext links to third-party websites. Rollo Technologies exercises no editorial control over these sites and disclaims all liability regarding their content, availability, privacy practices or any damage resulting from their consultation.
8. Personal data
The processing of personal data collected via the Site is governed by our Privacy Policy, which is an integral part of these Terms. We comply notably with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) and Cameroonian Law No. 2010/012 on cybersecurity.
9. Cookies
The Site uses exclusively technical cookies essential to its operation. No advertising, behavioral tracking or third-party profiling cookies are placed without the User's explicit consent. For more details, consult our Privacy Policy.
10. Modification of Terms
Rollo Technologies reserves the right to modify these Terms at any time and without notice. Modifications take effect upon their publication on the Site. It is the User's responsibility to consult the Terms regularly. Continued use of the Site after a modification constitutes acceptance of the new version of the Terms.
11. Severability
If one or more provisions of these Terms are declared null or unenforceable by decision of a competent court, the other provisions shall retain their force and scope.
12. Governing law and competent jurisdiction
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of laws rules. Any dispute relating to the interpretation, execution or validity of these Terms falls under the exclusive jurisdiction of the competent courts of the State of Delaware, except for mandatory contrary provisions.
For users residing in the European Union, mandatory consumer protection provisions provided by national law remain applicable.
